1. Scope

These General Terms and Conditions (GTC) apply to all orders and contracts placed through the online shop www.oleocon.de/shop between Dynamik Teile UG (hereinafter referred to as "Seller") and its customers (B2B and B2C).

Deviating terms and conditions of the customer will not be recognized unless explicitly confirmed in writing by Dynamik Teile UG.

2. Conclusion of Contract

A contract is only concluded when the Seller accepts the Customer’s order either by order confirmation or by delivering the goods.

3. Prices and Payment

All prices are stated in Euro (€) including statutory VAT (for B2C and B2B).

Invoices are payable within 21 working days from the invoice date without deduction, unless a different payment term is specified on the invoice or order.

In case of default in payment, Dynamik Teile UG reserves the right to charge default interest at 10% of the outstanding amount.

If the payment default continues for more than 60 days, the claim may be transferred to a collection agency. All costs arising therefrom shall be borne by the customer.

4. Withholding Tax / Tax Deduction

In certain countries, withholding tax may be applied to invoice amounts. This tax must be paid directly by the customer to the local tax authorities.

Dynamik Teile UG assumes no responsibility or costs related to country-specific tax regulations.

The full invoice amount remains payable to Dynamik Teile UG.

5. Delivery and Performance

Dynamik Teile UG undertakes to meet agreed delivery dates to the best of its knowledge and belief.

Delays caused by force majeure or supply problems with suppliers do not entitle the customer to claims for damages.

Deliveries are made ex works (EXW Dresden, according to Incoterms 2020) unless otherwise agreed.

6. Warranty and Liability

For consumers, the statutory warranty rights under German law apply.

For entrepreneurs (B2B), the warranty period is 12 months from delivery.

Dynamik Teile UG is not liable for indirect damages, lost profits, or consequential damages, except in cases of intent or gross negligence.

7. Complaints

Complaints must be submitted in writing by registered mail to the office of Dynamik Teile UG within 8 days of delivery.

After this period, the delivery is deemed accepted as proper.

8. Retention of Title

The delivered goods remain the property of Dynamik Teile UG until full payment has been made.

9. Data Protection

Personal data is used exclusively for processing orders and is handled in accordance with the provisions of the GDPR. Further information can be found in our privacy policy at www.oleocon.de.

10. Applicable Law and Jurisdiction

German law exclusively applies, excluding the UN Convention on Contracts for the International Sale of Goods (CISG).

The place of jurisdiction for all disputes, to the extent legally permitted, is Dresden (Germany).

11. Severability Clause

Should any provision of these GTC be invalid, the validity of the remaining provisions shall remain unaffected.
